General terms and conditions

Article 1 – Definitions

  • One-time Maintenance: One-time cleaning of the System upon the Client’s request.
  • Mechanical Ventilation Unit: Mechanical ventilation unit as delivered and installed by the manufacturer.
  • HRV Unit: HRV unit as delivered and installed by the manufacturer.
  • System:
    • For a Mechanical Ventilation Unit: Includes the unit, valves, and ventilation ducts.
    • For an HRV Unit: Includes the unit, valves, and ventilation ducts.
  • One-time Cleaning of Ventilation Ducts: Cleaning of the (exhaust) ducts for a Mechanical Ventilation Unit or HRV Unit.
  • One-time Replacement: Replacement of an outdated or defective Mechanical Ventilation Unit or HRV Unit.
  • One-time Installation of Ventilation System: Installation of a complete ventilation system.
  • Connection Points: Exhaust ducts connected to a Mechanical Ventilation Unit or HRV Unit.
  • Maintenance Service: Performing maintenance on a Mechanical Ventilation Unit, HRV Unit, and/or System.
  • Client: The person or entity with whom Alpha Ventilatie enters into a service subscription.
  • Contractor: Alpha Ventilatie B.V., located in Utrecht, Netherlands.

Article 2 – System Requirements

  • Eligibility for one-time maintenance, replacement, or duct cleaning requires:
    • System must not contain asbestos.
    • System must be free of non-original wiring, cables, or materials.
    • Ducts must not contain inappropriate appliances (e.g., a motorized kitchen exhaust) and must be free of closures or blockages.
    • Mechanical Ventilation Unit/HRV Unit and valves must have safe and accessible placement, as assessed by the Contractor.
  • Client guarantees that the System meets the above requirements.
  • Client must inform the Contractor if the System requires special maintenance or adjustments; adjusted rates may apply.

Article 3 – One-time Maintenance

  • Deviation from these Terms is communicated to the Client before the order.
  • Conditions for one-time maintenance:
    • Mechanical Ventilation Unit:
      • Includes: cleaning of the unit, valve cleaning, system inspection, duct cleaning, and before-and-after photos.
      • Excludes: material and labor costs for any identified issues.
    • HRV Unit:
      • Includes: cleaning of the unit, valve cleaning, system inspection, duct cleaning, filter replacement, and before-and-after photos.
      • Advice: Client should replace filters every six months.
  • Service covers one unit and up to four connection points; additional points cost €15 each.

Article 4 – One-time Replacement

  • Client may request unit replacement.
  • Client is responsible for transporting the old unit.
  • Additional charges apply if relocation is required due to inaccessibility, determined on-site.
  • Client is not liable for post-installation defects or damages, which are the manufacturer’s responsibility.
  • Warranty terms depend on the selected product.
  • Installation may impact the standard 3-speed switch; electrical support may be needed.
  • Installation is permanent and cannot be reversed without professional help.
  • Agreement cancellation after installation is not allowed; cancellation requests must be submitted before installation.

Article 5 – One-time Duct Cleaning

  • Mechanical Ventilation Unit:
    • Includes cleaning of exhaust ducts, valve cleaning, system inspection, and before-and-after photos.
  • HRV Unit:
    • Includes the above; optional cleaning of intake ducts is available at €17.50 per intake duct.

Article 6 – One-time Installation of Ventilation System

  • Client is not liable for post-installation defects or damages.
  • Warranty terms depend on the selected product.
  • Installation may affect the 3-speed switch functionality; an electrician may be required.
  • System installation is permanent and cannot be undone without professional help.
  • Contract termination after installation is not allowed; cancellation must occur before installation, under the applicable cancellation terms.

Article 7 – Payments

  • Payment for One-time Maintenance, One-time Replacement, One-time System Installation (50%), and One-time Duct Cleaning is made after the work is completed via a mobile PIN device on-site. Invoice payment is not available unless otherwise agreed.
  • A no-show fee of €79 is charged for absence or late cancellation (less than 48 hours prior).
  • Cancellation fees of €79 are charged if work cannot be performed on-site due to reasons like:
    • Inaccessible system.
    • Incorrect instructions provided by the Client.
    • The fee must be paid on-site.

Article 8 – Quotation

  • Quotations are non-binding unless explicitly stated otherwise, valid for 14-30 days.
  • All prices include VAT unless otherwise specified.
  • Extra costs for unlisted additional services or products are charged separately.
  • Client should verify the quotation’s accuracy and completeness. Changes must be reported in writing before acceptance.
  • Accepting a quotation means agreement to terms and pricing; adjustments must be agreed upon in writing.
  • Contractor reserves the right to withdraw or amend a quote due to unforeseen circumstances.
  • Price adjustments may occur due to production cost increases, capped at a 10% rise unless agreed otherwise.
  • If the Client cancels an accepted quote, Alpha Ventilatie may charge 10% of the quoted price to cover administrative and preparatory expenses.

Article 9 – Client Obligations

  • Client must provide access to the premises for scheduled appointments.
  • Client provides free access to utilities and necessary resources for work.
  • If the Client is not present at a scheduled appointment, a message will be left, and a cancellation fee of €75 applies.

Article 10 – Liability for Damage

  • Contractor aims for careful installation but accepts no liability for direct or indirect damages from installation, such as wall damage.
  • No liability for damages unless due to intent or gross negligence, including:
    • Freezing, lightning strikes, indoor pollution, leaks, gas or electricity malfunctions.
  • Contractor is not liable for the operation or installation of existing systems.
  • If Client or third parties modify the System after inspection, Contractor is not liable for resulting damage.
  • Specific to one-time installation: Despite high-tech detection equipment, Contractor cannot guarantee no damage to cables or pipes during work. Client should provide details about safe drilling locations. Liability is excluded except for cases of intent or gross negligence.

Article 11 – Cancellation

  • Free cancellation of installation appointments up to 72 hours before scheduled time.
  • Late cancellations incur a €79 fee, or €200 for HRV unit replacements.
  • Once installed, systems cannot be undone, especially for complete systems involving roof or wall holes.

Article 11.1 – Alpha Subscription Cancellation

  • Client can cancel the Alpha subscription anytime by contacting customer service. Cancellation takes effect at the end of the current period, and refunds for unused periods are given only if:
    • The subscription is canceled within 14 days of start, per the right of withdrawal.
    • Technical issues disrupt service for over 72 hours without resolution.
  • No refunds are given in other cases.

Article 11.2 – Hybrid Heat Pump Pre-order Cancellation

  • Full cancellation is allowed up to 30 days before installation, with a €75 cancellation fee.

Article 12 – Changes to Terms and Alpha Subscriptions

  • Contractor may change the Terms or Subscription fees, with a minimum of 8 weeks’ notice.

Article 13 – Privacy and Data Protection

  • Contractor collects personal data for service requests, Agreement execution, risk management, and marketing purposes. Clients can opt-out of marketing communications in writing.

Article 14 – Applicability of Terms

  • These Terms apply to all Alpha Ventilatie offers and requests. In case of conflict, these Terms prevail.
  • Contractor will notify Client if transferring contract rights to a third party.
  • Offers and quotations are non-binding, serving as invitations to submit a request.
  • Invalidity of one or more provisions does not affect the validity of remaining provisions.
  • All contracts are subject to Dutch law.
  • Disputes will be resolved by the competent court in Utrecht, Netherlands.
